Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Project Amino (“Company,” “we,” “us,” or “our”), the operator of https://projectamino.io (the “Site”). By accessing or using this Site, placing an order, or creating an account, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease use of this Site and refrain from placing any orders. We reserve the right to refuse service to anyone at our sole discretion.

Research Use Only – Important Notice

ALL PRODUCTS SOLD BY PROJECT AMINO ARE INTENDED SOLELY FOR LEGITIMATE SCIENTIFIC RESEARCH AND LABORATORY USE BY QUALIFIED RESEARCHERS AND LICENSED PROFESSIONALS. OUR PRODUCTS ARE NOT INTENDED FOR HUMAN CONSUMPTION, VETERINARY USE, DIAGNOSTIC USE, OR THERAPEUTIC APPLICATION OF ANY KIND.

By completing a purchase, you expressly represent, warrant, and agree that:

  • You are a qualified researcher, scientist, licensed professional, or authorized institutional purchaser
  • You are purchasing products exclusively for in vitro or in vivo laboratory research purposes
  • You will not use our products for self-administration or administration to any other person or animal
  • You understand that our products have not been evaluated or approved by the United States Food and Drug Administration (FDA) for human use
  • You accept full legal and ethical responsibility for the use and storage of products purchased
  • You are at least 18 years of age and have the legal capacity to enter into this agreement

Project Amino makes no representations or warranties that its products are appropriate for any particular research application. Researchers are solely responsible for determining the suitability of any product for their intended research use and for complying with all applicable federal, state, and local laws and institutional regulations governing research activities.

Eligibility

Our Site and products are available only to individuals who are 18 years of age or older. By using the Site, you represent and warrant that you meet this age requirement. We reserve the right to verify your eligibility at any time and to refuse or cancel orders if eligibility cannot be confirmed.

Certain products may be subject to additional restrictions based on applicable federal or state law. It is your sole responsibility to verify that the purchase, receipt, and use of any product ordered from our Site is lawful in your jurisdiction.

Accounts and Registration

To access certain features of the Site or to place orders, you may be required to create an account. Products and Product Descriptions

We have made reasonable efforts to display and describe our products accurately on the Site. However, we do not warrant that product descriptions, specifications, pricing, or other content on the Site is accurate, complete, reliable, current, or error-free. Product images are for illustrative purposes only and may not reflect the exact appearance of the product received.

We reserve the right to discontinue any product at any time, modify product specifications without notice, and limit quantities available for purchase. The availability of any product on the Site does not constitute a guarantee that the product will remain available.
Nothing in any product description, research summary, or informational content on this Site constitutes medical advice, a health claim, or a recommendation for human use.

Pricing and Payment

All prices listed on our Site are in United States Dollars (USD) and are subject to change without notice. We reserve the right to correct pricing errors at any time. In the event of a pricing error, we will contact you with the option to proceed at the correct price or cancel your order.

We accept payment through the methods listed at checkout. By submitting a payment, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your payment method for all amounts associated with your order.

All transactions are processed by third-party payment processors. We do not store full payment card information on our servers. Your payment information is handled in accordance with Payment Card Industry Data Security Standards (PCI-DSS).

We reserve the right to cancel any order at our sole discretion, including in cases of suspected fraud, pricing errors, product unavailability, or regulatory concerns.

Shipping and Delivery

We ship to addresses within the United States and to select international destinations. Shipping availability and timelines vary based on destination, carrier conditions, and product availability. Estimated shipping times provided at checkout are approximations only and are not guaranteed delivery dates.

Title and risk of loss for products pass to you upon delivery to the designated carrier. We are not responsible for delays, damages, or losses occurring during transit, though we will make reasonable efforts to assist in resolving carrier-related issues.

It is your responsibility to ensure that the importation and possession of any product is lawful in your jurisdiction. We do not assume liability for orders seized or delayed by customs authorities. All applicable import duties, taxes, and fees are the responsibility of the buyer.

Returns, Refunds, and Cancellations

Due to the nature of research chemicals and our commitment to product integrity and regulatory compliance, all sales are generally final. We do not accept returns of opened or used products.

If you receive a product that is damaged in transit or materially differs from what was ordered, you must contact us at cs@projectamino.io within 5 business days of receipt, providing photographic evidence of the issue. We will assess such claims on a case-by-case basis and may offer a replacement or store credit at our discretion.

Order cancellations may be requested prior to shipment. Once an order has shipped, it cannot be cancelled. We reserve the right to refuse cancellation requests at our discretion.

Prohibited Uses

You agree that you will not use our Site or products for any of the following purposes:

  • Any use that violates applicable federal, state, or local law or regulation

Any feedback, suggestions, or ideas you provide to us regarding the Site or our products may be used by us without restriction or compensation to you.

Disclaimer of Warranties

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE OR THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECT AMINO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Project Amino and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Site or any products purchased
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of the rights of any third party
  • Any content you submit to or transmit through the Site

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.

Governing Law and

Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Project Amino is registered, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If resolution cannot be reached within 30 days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

You agree that any claims against Project Amino shall be brought in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

Regulatory Compliance

Our products may be subject to various federal, state, and local laws and regulations, including but not limited to those enforced by the FDA, the DEA, and applicable state health agencies. We make no representation that any product is permissible for purchase, possession, or use in any particular jurisdiction.

It is the sole responsibility of the buyer to determine the applicable laws and regulations in their jurisdiction before placing an order. Project Amino assumes no liability for a buyer’s failure to comply with applicable law.

Products sold by Project Amino are not intended to diagnose, treat, cure, or prevent any disease or condition. These statements have not been evaluated by the Food and Drug Administration.

Force Majeure

We shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions or restrictions, pandemics, supply chain disruptions, carrier failures, cyberattacks, or labor disputes. In the event of a force majeure, we will notify you as soon as practicable and resume performance as quickly as reasonably possible.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. It is your responsibility to review these Terms periodically. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Site.

Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future. No waiver shall be effective unless made in writing and signed by an authorized representative of Project Amino.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Project Amino with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, and agreements, whether written or oral.
